The Client Profile
The Specialized Technology Entrepreneur
The client, a prominent U.S. citizen and high-profile technology entrepreneur, was moving on from a career at a major international technology conglomerate in East Asia. Upon relocating to the United States, the client sought to launch a new independent venture valued at approximately $20 million. The engagement called for a corporate structure that would protect proprietary technical expertise and personal privacy and allow an efficient wealth transfer to the next generation.
The Challenge
The engagement involved several complex variables that called for a custom legal and financial framework:
Litigation Risk Mitigation
The client faced significant third-party discovery risks and potential litigation from a former employer. The structure had to withstand aggressive legal scrutiny without slowing the new venture.
Privacy vs. Transparency
A primary requirement was to decouple the client's public identity from the entity's legal registration while maintaining strict adherence to U.S. federal transparency mandates and reporting requirements.
Cross-Border Jurisdictional Friction
The client needed to move assets and operations from East Asia to the United States without disruption, while working through the different tax and regulatory regimes of both jurisdictions.
Strategic Succession Planning
The client intended for the future growth and terminal value of the venture to accrue to his son, which required a "frozen" estate valuation at the point of entry and an optimized exit strategy.
The Strategy
Our firm designed a "Privacy-First" corporate structure that used institutional stewardship and layered trust planning to separate the founder from public records.
Structural Flowchart
Institutional Steward
Record Owner (Public Layer)
Delaware LLC
Operating Entity
Nevada IDGT
Value Freeze at $20M
PPLI Wrapper
Tax-Deferred Growth & Privacy

Tax-Free Inheritance
Founder connects to Operating Entity via Technical Consulting Agreement (not as a public officer or owner).
1. Institutional Stewardship & Entity Formation (Delaware LLC)
To maximize privacy, we formed a Delaware Limited Liability Company (LLC) under an institutional stewardship model. Our firm appeared as the record owner, which added a strong layer of confidentiality. The entrepreneur served as a Senior Strategic Consultant, so his operational leadership and vision stayed confidential during the initial phase of the relocation.
2. Advanced Asset Protection (Nevada IDGT)
We added a Nevada-based Intentionally Defective Grantor Trust (IDGT) as the long-term holding vehicle for the family's equity.
Value Freeze: The $20 million initial valuation was transferred to the trust via a private installment sale, effectively "freezing" the value of the asset in the founder's estate.
3. The PPLI Shield: Enhanced Privacy and Tax Elimination
In the final phase of the strategy, the trust contributes its interest in the operating entity to a Private Placement Life Insurance (PPLI) policy wrapper. This adds two benefits: tax optimization and stronger anonymity.
Identity Insulation
PPLI creates a "legal wall" between the policy owner (the trust) and the underlying investments. To third parties and external inquiries, the legal owner of the business interests is the insurance carrier, not the entrepreneur or the family trust.
Tax-Deferred Growth
Once inside the PPLI wrapper, the investment grows on a tax-deferred basis.
The Step-Up Equivalent
Upon the death of the insured, the death benefit (which includes the value of the business) is paid out to the heir as tax-free insurance proceeds. This effectively eliminates all federal capital gains taxes on the appreciation from $20 million to the terminal value.
The Outcome
Effective Risk Insulation
The combination of institutional stewardship and the PPLI wrapper reduced the risk of discovery lawsuits by placing the founder's identity behind multiple layers of institutional and statutory privacy.
Maximum Tax Optimization
By combining the IDGT "freeze" with the PPLI wrapper, the client achieved two goals at once: removing the asset from the estate (saving 40% estate tax) and eliminating capital gains tax for the heir.
Regulatory Compliance
Despite the emphasis on privacy and tax efficiency, the structure remains fully transparent to federal authorities (FinCEN/IRS), which protects the client's reputation and standing.
